By accessing this website and purchasing products from New Era OS, you are agreeing to be bound by these Terms of Use and all applicable laws and regulations. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, YOU ARE PROHIBITED FROM AND INFORMED NOT TO USE OR ACCESS THIS SITE NOR TO PURCHASE ANY OF THE PRODUCTS MADE AVAILABLE TO THE PUBLIC BY NEW ERA OS.
1. USE LICENSE
Permission is granted to temporarily download one copy of any downloadable materials on the New Era OS website for personal, non-commercial private viewing only. This permission is the grant of a license, not a transfer of title, and under this license you may not:
Modify or copy the materials
Use the materials for any commercial purpose, or for any public display (commercial or non-commercial)
Attempt to decompile or reverse engineer any software contained on the New Era OS website

7. GOVERNING LAW
These terms and conditions are governed by and construed in accordance with the laws of the United States and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
8. SUBSCRIPTION AND BILLING
Payment Terms
You are required to pay New Era OS for every product you use, as per the pricing and payment terms presented to you for that product. Stripe and PayPal are third-party payment processors that we use to bill you through your payment account linked to your New Era OS account.
Payment processing is subject to the terms, conditions, and privacy policies of the applicable payment processor, in addition to this Agreement.
Billing Method
You will be charged through the billing method you select via your account management page. If you have chosen to pay by credit card, you must ensure the accuracy of the credit card information you provide and promptly inform New Era OS of any changes to avoid interruption of service.
Subscription Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. You are responsible for all charges incurred until cancellation is processed.
9. TAXES
Our prices for New Era OS do not include any taxes, levies, duties, or similar governmental assessments of any nature, such as value-added, sales, use, or withholding taxes, unless otherwise indicated.
You are solely responsible for paying any taxes associated with your purchase of New Era OS and for keeping your billing information up to date.
United States Sales Tax: If we have a legal obligation to pay or collect sales tax for which you are responsible, we will calculate the sales tax based upon the billing information we have about you and charge you that amount. If your billing information is incomplete or inaccurate, we may charge you the highest prevailing rate then in effect.
10. REFUND POLICY
We offer a full refund within thirty (30) days of initial sign-up. If you wish to cancel your plan and request a refund, please contact us at [email protected] within 30 days of sign-up.
All payments made thereafter are non-refundable, and we do not provide credits for partially used subscription periods.
11. CANCELLATION AND TERMINATION
You may cancel your subscription at any time through your account dashboard or by contacting us at [email protected]. Upon cancellation, you will retain access to the platform until the end of your current billing period.
New Era OS reserves the right to suspend or terminate your account if you violate these Terms & Conditions or engage in fraudulent, abusive, or illegal activity.
Please note that during any period of suspension or after termination, you may not be able to access the product or certain services within the product, which may affect your ability to provide your content, products, and services to your end-users.
You acknowledge that New Era OS is not liable for any disputes, claims, losses, injuries, or damages of any kind that may arise out of any impacts on your relationship with your end-users as a result of any suspension or termination of your access to the product.
12. INTELLECTUAL PROPERTY AND USER CONTENT
Your Content
You retain all ownership rights to any content you upload to New Era OS. However, by uploading content through the platform, you grant New Era OS a worldwide, royalty-free license solely for the purpose of providing the platform services to you and as permitted by our Privacy Policy.
You are solely responsible for your content and any consequences of uploading or publishing it. You represent and warrant that you own or have the necessary rights to use and authorize the use of your content as described in these Terms.
Our Platform
The New Era OS platform, including all software, templates, and proprietary materials, is owned by New Era OS and is protected by copyright, trademark, and other intellectual property laws. You may not reverse engineer, translate, disassemble, integrate, decompile, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the platform or any part thereof.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless New Era OS and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
Your use of and access to the platform
Your violation of any term of these Terms & Conditions
Your violation of any third-party right, including without limitation any copyright, property, or privacy right
Any claim that your content caused damage to a third party
14. NO EXCLUSIVITY
We reserve the right to provide our platform to your competitors and do not guarantee exclusivity in any particular market segment. You acknowledge and agree that New Era OS employees and contractors may also use our platform, and may compete with you, provided that they do not use your content or confidential information in doing so.
15. REGULATORY COMPLIANCE
The New Era OS platform is not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.). If your use would be subject to such laws, you may not use this platform. You may not use the platform in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
16. BACKUP AND DATA LOSS
You are required to make use of backup functions of the platform to the extent allowed by applicable third-party terms and conditions of use. You are aware that in case of alterations or manipulations of the platform, you may not have access to your data. New Era OS is not responsible for any data loss that may occur.
17. SECURITY
New Era OS warrants that the platform is free of spyware, trojan horses, viruses, or any other malware at the time of your download or access. However, no data transmission over the Internet can be guaranteed to be 100% secure. While we strive to protect your personal information, you acknowledge that there are security and privacy limitations inherent to the Internet which are beyond our control.
18. THIRD-PARTY SERVICES
New Era OS may integrate with or provide access to third-party services, tools, or platforms. Your use of such third-party services is governed by their respective terms and conditions and privacy policies. New Era OS is not responsible for the content, functionality, or practices of third-party services.
19. PROPRIETARY TEMPLATES AND RESOURCES
New Era OS provides access to proprietary templates, buildouts, support resources, and other materials as part of its software subscription. These materials are provided for your use within the platform and may not be redistributed, resold, or used outside of the platform without explicit written permission from New Era OS.

21. ENTIRE AGREEMENT
These Terms & Conditions, along with our Privacy Policy, constitute the entire agreement between you and New Era OS regarding your use of the platform and supersede all prior agreements and understandings, whether written or oral.
22. SEVERABILITY
If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms & Conditions will otherwise remain in full force and effect and enforceable.
23. WAIVER
No waiver of any term of these Terms & Conditions shall be deemed a further or continuing waiver of such term or any other term, and New Era OS's failure to assert any right or provision under these Terms & Conditions shall not constitute a waiver of such right or provision.
